A legislação brasileira prevê que os serviços privados de assistência à saúde caracterizam-se pela atuação, por iniciativa própria, de profissionais liberais, legalmente habilitados, e de pessoas jurídicas de direito privado na promoção, proteção e recuperação da saúde, sendo a assistência à saúde livre à iniciativa privada.

Por sua vez, o registro de empresas e a anotação dos profissionais legalmente habilitados, delas encarregados, serão obrigatórios nas entidades competentes para a fiscalização do exercício das diversas profissões, em razão da atividade básica ou em relação àquela pela qual prestem serviços a terceiros.

Isto é, se a atividade fim de um certo estabelecimento de saúde incluir medicina, fisioterapia e psicologia, a empresa terá a obrigação de efetivar o respectivo registro, com todas as informações devidas, no CRM, CREFISO e CRP da região onde realiza sua atividade.

Doutro lado, conforme determina o Decreto nº 20.931/1932, os institutos hospitalares de qualquer natureza, públicos ou particulares, os laboratórios de análises e pesquisas clínicas, os laboratórios de soros, vacinas e outros produtos biológicos, os gabinetes de raios X e os institutos de psicoterapia, fisioterapia e ortopedia, e os estabelecimentos de duchas ou banhos medicinais, só poderão funcionar sob responsabilidade e direção técnica de médicos ou farmacêuticos, nos casos compatíveis com esta profissão, sendo indispensável para o seu funcionamento a licença da autoridade sanitária.  

Outro ponto importante para a regularidade de um estabelecimento de saúde é sua inscrição e atualização de dados junto ao Cadastro Nacional de Estabelecimentos de Saúde (CNES), bem como na Vigilância Sanitária competente.

Quanto ao CNES, vale dizer que se constitui como documento público e sistema de informação oficial de cadastramento de informações de todos os estabelecimentos de saúde no País, independentemente da natureza jurídica ou de integrarem o SUS. 

Dentre as diversas informações que o estabelecimento de saúde deve cadastrar no CNES, tem-se aquelas pertinentes aos recursos físicos, trabalhadores, serviços ofertados, equipamentos, dentre outras.

Contudo, além das exigências normativas especiais que tocam o setor da saúde, há também uma sequência de decisões judiciais relevantes sobre a matéria, em relação às quais os empresários do setor necessitam estar atualizados, como é o caso da decisão que suspendeu os efeitos da Resolução nº 529/2016 do Conselho Federal de Enfermagem, ficando determinado, liminarmente, que os procedimentos estéticos só podem ser realizados por médicos.

Mais um bom exemplo do grau de especificidade da atividade empresarial da saúde é a recente decisão do Superior Tribunal de Justiça, que impede a prática da acupuntura por farmacêuticos.

Assim, as clínicas privadas médicas, de saúde e bem-estar, como são empresas da área da saúde, devem atender as diversas legislações específicas do setor, além das normas dos Conselhos de Classe, dos órgãos públicos e autoridades competentes, bem como estarem atentas às frequentes decisões judiciais sobre o segmento em questão.

Fato é que diversas normas especiais incidem sobre a atividade empresarial da saúde. Diante disso, é ainda mais importante que o empresário da saúde esteja atento não só às exigências legais da relação padrão de prestação de serviço e/ou de consumo, mas também às normas e decisões especiais relativas ao setor em que atua.

Brazilian legislation provides that private health-care services are characterized by the performance, on their own initiative, of legally-qualified, liberal professionals and legal entities of private law in the promotion, protection and recovery of health, being the health care free to private initiative.

In turn, the registration of companies and the annotation of legally qualified professionals, in charge of these, will be obligatory in the entities competent to supervise the exercise of the various professions, due to the basic activity or in relation to which they provide services to third parties.

That is, if the end of a certain health facility includes medicine, physiotherapy and psychology, the company will have the obligation to carry out the respective registration, with all the information due, in the CRM, CREFISO and CRP of the region where it carries out its activity.

On the other hand, according to Decree nº 20.931/1932, hospital institutes of any nature, public or private, clinical analysis and research laboratories, laboratories for serums, vaccines and other biological products, X-ray offices and the institutes of psychotherapy, physiotherapy and orthopedics, and medical showers or baths, may only be operated under the responsibility and technical direction of phisicians or pharmacists, in cases compatible with this profession, being indispensable for its operation the license of the sanitary authority.

Another important point for the regularity of a health establishment is its registration and updating of data with the National Register of Health Establishments (CNES), as well as in the competent Sanitary Surveillance.

As for the CNES, it is worth to say that it constitutes a public document and an official information system for registering information of all health facilities in the country, regardless of the legal nature or integrating the SUS.

Among the various information that the health facility must register in the CNES, there are those pertinent to physical resources, workers, services offered, equipment, among others.

However, in addition to the special regulatory requirements that affect the health sector, there is also a sequence of relevant judicial decisions on the subject, in relation to which businessmen in the sector need to be updated, as is the case of the decision that suspended the effects of Resolution nº 529/2016 of the Federal Nursing Council, being determined, at the outset, that aesthetic procedures can only be performed by physicians.

Another good example of the degree of specificity of health business activity is the recent decision of the Superior Court of Justice, which prevents the practice of acupuncture by pharmacists.

Thus, private medical, health and wellness clinics, such as health care companies, must comply with the various sector-specific legislations, in addition to the norms of the Class Councils, public bodies and competent authorities, as well as being aware to frequent court decisions on the segment in question.

It is a fact that several special norms focus on health business activity. Therefore, it is even more important that the health entrepreneur is aware not only of the legal requirements of the standard relation of service and / or consumption, but also of the norms and special court decisions related to the sector in which it operates.
