How does the registration of Foreign Foreign Capital work in Brazil?
The foreign capital must be registered by means of an Electronic Statement of Registration – Foreign Direct Investment Module (RDE-IED), on the Central Bank Information System (SISBACEN).
The registration of foreign capital is be made through the RDE-IED (Registro Declaratório Eletrônico – Investimento Externo Direto - Electronic Declaration Register), which is part of the Central Bank Information System (Sistema de Informações do Banco Central – SISBACEN).
This registration is essential for offshore remittances, capital repatriation and registration of profit reinvestment. In the case of direct investments, the responsible for the capital registration is the company or the representative of a foreign company in Brazil that is receiving the capital.
For the purposes of the Electronic Statement of Registration, foreign direct investment is defined as permanent holdings in Brazilian companies or, in accordance with common market practices, long-term ownership by non resident investors; individuals or corporate entities residing, domiciled or incorporated abroad, through ownership of shares or stock in Brazilian companies, or investments in foreign companies authorized to operate in Brazil.
Foreign investments to be made and registered are not subject to prior review or verification by the Central Bank. The declaratory nature of the statement implies that the Brazilian company receiving the investment and/or the representative of the foreign investor are responsible for the registration.
All foreign investments must be registered with the Central Bank of Brazil. Such registration is required for remittances abroad, repatriation of capital and registration of profit reinvestment.

Como funciona o registro de Capital Estrangeiro no Brasil?
O capital estrangeiro deve ser registrado por meio de um Extrato Eletrônico de Registro – Módulo de Investimento Estrangeiro Direto (RDE-IED), no Sistema de Informações do Banco Central (SISBACEN).
O registro de capital estrangeiro é feito por meio do RDE-IED (Registro Declaratório Eletrônico – Investimento Externo Direto - Cadastro Eletrônico de Declaração), que faz parte do Banco Central Sistema de Informações (Sistema de Informações do Banco Central – SISBACEN).
Este registro é essencial para remessas offshore, repatriação de capital e registro de reinvestimento de lucros. No caso de investimentos diretos, o responsável pelo registro do capital é a empresa ou representante de empresa estrangeira no Brasil que está recebendo o capital.
Para fins da Declaração Eletrônica de Registro, investimento estrangeiro direto é definido como participações permanentes em sociedades brasileiras ou, de acordo com as práticas comuns de mercado, participações de longo prazo por investidores não residentes; pessoas físicas ou jurídicas residentes, domiciliadas ou constituídas no exterior, mediante a titularidade de ações ou ações de sociedades brasileiras, ou participação em sociedades estrangeiras autorizadas a funcionar no Brasil.
Os investimentos estrangeiros a serem realizados e registrados não estão sujeitos à análise ou verificação prévia do Banco Central. O caráter declaratório da declaração implica que a empresa brasileira receptora do investimento e/ou o representante do investidor estrangeiro sejam os responsáveis pelo registro.
Todos os investimentos estrangeiros devem ser registrados no Banco Central do Brasil. Tal registro é exigido para remessas ao exterior, repatriação de capital e registro de reinvestimento de lucros.
