Responsabilidade Jurídica do Sócio Retirante

Trata-se de uma situação de alta importância a responsabilidade do sócio que se desliga da sociedade da qual participava, mas nem sempre os empresários se atentam para os riscos envolvidos caso a cessão das cotas não seja feita corretamente. 

Afora as situações especiais, o parágrafo único, do artigo 1.003 do Código Civil, determina que a responsabilidade do sócio retirante permanece por dois anos depois de averbada a modificação do contrato, respondendo o cedente solidariamente com o cessionário, perante a sociedade e terceiros, pelas obrigações que tinha como sócio.

Fica evidente, portanto, a importância de se efetivar, o mais breve possível, tanto na sociedade simples quanto na limitada, a averbação da saída do sócio, em caso de cessão de suas cotas sociais, na Junta Comercial, haja vista que é a partir desse momento que se inicia a contagem do prazo de dois anos previsto em lei. 

O risco para o sócio que não observa o procedimento correto para efetivar seu desligamento da empresa pode lhe acarretar vários prejuízos, que poderiam ser evitados se a averbação tivesse ocorrido no momento adequado. É o que ocorre quando se averba a cessão das cotas sociais meses após esta ter sido efetivamente realizada, fato que pode ocasionar discussões judiciais em relação à responsabilidade por dívidas da empresa. 

Por isso, o Código Civil determina que a cessão total ou parcial de quota, sem a correspondente modificação do contrato social com o consentimento dos demais sócios, não terá eficácia quanto a estes e à sociedade. Ou seja, de acordo com o Código Civil, a responsabilidade do sócio retirante de dois anos depois só começa a contar depois da efetiva modificação do contrato social e após averbação a alteração de cessão de quotas na Junta Comercial.

Retirando-se o nome do agora ex-sócio do quadro da sociedade comercial e promovido o registro da alteração derivada da retirada, junto ao órgão competente, as obrigações sociais passíveis de lhe serem imputadas devem ser exigidas dentro do prazo de até dois anos após o aperfeiçoamento da modificação contratual.

In addition to the special situations, the sole paragraph of Article 1.003 of the Brazilian Civil Code establishes that the liability of the retiring member remains for two years after the modification of the contract has been recorded, the assignor being jointly and severally liable with the transferee, before the company and third parties, for the obligations it had as a partner.

It is evident, therefore, the importance of effecting, as soon as possible, in the simple as well as the limited society, the endorsement of the partner`s outgoing, in case of assignment of his social quotas, in the Board of Trade, since it is from that moment that begins the counting of the term of two years provided by law.

The risk to the partner who does not observe the correct procedure to effect his/her departure from the company can entail several damages to him, that could be avoided if the registration had happened at the appropriate time. This occurs when the assignment of social quotas is recorded months after it has actually been effected, a fact that may lead to judicial discussions regarding the company`s liability for debts.

Therefore, the Brazilian Civil Code establishes that the total or partial transfer of quota, without the corresponding modification of the social contract with the consent of the other partners, will not be effective for them and for society. That is, according to the Brazilian Civil Code, the liability of the retiring partner of two years later only begins to count after the effective modification of the social contract and after registration the change of assignment of quotas in the Board of Trade.

With the removal of the name of the former partner of Board of Trade and the registration of the alteration resulting from the withdrawal, the social obligations that may be imputed to him/her must be demanded within a period of up to two years after improvement of contractual modification
